STANDARD TERMS AND CONDITIONS
Advantage Septic Service

  1. Summary: Advantage Septic Service, LLC or its subcontractors, will provide all labor, equipment & materials necessary to complete the scope detailed on the proposal attached to and incorporated into this agreement.
    1. This agreement is between Advantage Septic Service, LLC and the client listed in the Bill to section of the proposal incorporated by reference herein.

    3. The client warrants that Advantage Septic Service; LLC has legal and uninhibited access to the property to perform the work by accepting this proposal.
    4. I affirm that I am the owner, trustee or contract owner of the property, have the authority to enter into this contract, personally guarantee payment, have read and understood the right to cancel in section 23 of the standard terms and conditions and authorize Advantage Septic Service, LLC to enter onto the property for the purpose of completing the work scope.
    5. The titles used in this Agreement are for general reference only and are not part of the Agreement. This Agreement represents the entire agreement between the parties and supersedes all other negotiations, representations or agreements not contained herein.
    6. My signature on the proposal form affirms that I accept the standard terms & conditions and do hereby authorize Advantage Septic Service, LLC its affiliated companies, its employees, subcontractors and regulatory personnel to enter onto the property to perform the requested work.
    7. Electronic signatures, faxed signatures and email confirmations are acceptable and will be considered A ratified copy will be returned to you.
  2. Work Start & End: If not otherwise stated on the proposal attached, please return a 33% deposit with the signed agreements. Once signed agreement and deposit are received, work will be scheduled. Please phone the office or complete the credit card authorization form to arrange for deposit payment by credit card, debit card or other electronic Paper records of card numbers are not kept in Advantage Septic Service, LLC paper files
  3. Site Conditions: Prior to beginning work, Advantage Septic Service, LLC will notify (VA 811) Miss Utility of pending excavations and have clear tickets before commencing work. Marking of private utilities on site such as water or sewer service from the street to the building, electrical, plumbing and communication lines between structures, irrigation, dog fence etc. are the responsibility of the owner as is the cost to repair if damaged by construction Removal or replacement of unstable soils, groundwater or rock encountered during construction is excluded from this agreement. Advantage Septic Service, LLC scope of work to start 3 – 5 feet beyond foundation for sewer line hookup unless otherwise agreed to.
  4. Survey and Stakeout: Prior to scheduling the layout inspection with regulators or designers, Advantage Septic Service, LLC will visit the site to determine if property lines, construction areas or other survey / stakeout is required to complete the work. Stakeout or survey required is the responsibility of the owner. After work is completed, Advantage Septic Service, LLC is required to file an as-built drawing of components installed. Should regulators, Advantage Septic Service, LLC or others require a wall check survey, or other survey of installed components, the client is responsible for this cost as well.
  5. Electrical Supply: Prior to providing the proposal, Advantage Septic Service, LLC will have made a good faith attempt to accurately estimate costs for supply power to required components using the current electrical supply Should detailed investigation on site during construction determine that the existing electrical supply is inadequate or unsafe additional upgrades or changes may be required at the owner’s expense.
  6. Drawings, Specifications & Permits: The scope of work may require special drawings or specifications to be developed or followed unless specifically denoted below. The scope of work has been developed based on existing records and drawings made available to SES by the owner or local health department. Advantage Septic Service, LLC will comply with all State and local requirements for permits, inspection and zoning in effect as of the date of ratification of this
  7. Modifications or Change Orders: Any modification that changes the cost, materials, work to be performed or proposed completion date must be in writing and signed by all parties.
  8. Abandonment & Delays: Weather, Acts of terrorism, war, acts of God, fire, improper site access, improperly marked utilities, availability of specialty materials or other events beyond the control of Advantage Septic Service, LLC, do not constitute abandonment and are not included in calculating time frames for payment or performance.
  9. Cancellation: Either party may cancel this agreement with no penalty upon written notice delivered by certified mail to the address listed on the agreement prior to work Advantage Septic Service, LLC shall be entitled to the proportional share of the contract amount based on work completed or 25% whichever is greater for consumer cancellations after work has begun.
  10. Warranty: The work is fully warranted for parts and labor for 1-year from the date the system operation permit is issued by the health department. Exclusions: Warranty is void if required compliance inspections and maintenance by a licensed onsite sewage system operator of the proper class is not completed in accordance with the regulations in place at the time the operations permit is issued. Warranty is also void if the system is operated outside the limits detailed in the permit which is included herein by reference as a part of this agreement. The client acknowledges however, that Advantage Septic Service, LLC and/ and or its employees, subcontractors cannot and do not warrant the onsite sewage system, or make any representations concerning the proper performance, functioning or longevity of any onsite sewage system or well. Parts with warranties greater than one year are subject to normal labor rates for repair or replacement after one year.
  11. Assignment: The services provided hereunder are for the sole and exclusive use and benefit of the named client. No person or entity other than Advantage Septic Service, LLC and the named client shall be deemed to be a party to, or third party beneficiary of this Agreement. Client may not assign or transfer any rights or interests arising under this Agreement without Advantage Septic Service, LLC’s consent.
  12. Safety: Client acknowledges that some of the services required hereunder may require the digging of open trenches, pits, profile holes and or other ground disturbances which may remain in existence for periods of time, the refilling of which addressed in the scope on the Client acknowledges that such conditions may damage or destroy crops, trees or other vegetation and may represent a safety hazard to people, pets and livestock including the risk of injury or death. CLIENT ASSUMES FULL RESPONSIBILITY FOR TAKING ALL APPROPRIATE SAFETY PRECAUTIONS TO ADEQUATELY SECURE THE PROPERTY DURING THE EXISTENCE OF SUCH ALTERED GROUND CONDITIONS. Client agrees to hold harmless and indemnify Advantage Septic Service, LLC from and against all claims, liabilities, demands for property damage, bodily injury, or losses of any nature whatsoever, including the costs of defense and attorneys fees, arising out of, or in any way relating to, any altered condition of the property on the work undertaken.
  13. Utilities: The client shall be responsible for accurately advising Advantage Septic Service, LLC of the location of all subterranean structures and utilities INCLUDING UNDERGROUND DOG FENCE. In areas where services are provided free of charge by MISS UTILITY, Advantage Septic Service, LLC will call MISS UTILITY on behalf of the client as a If MISS UTILITY requires a site meeting, costs will be billed in accordance with “SES Standard Rates”. With respect to Advantage Septic Service, LLC, client remains solely responsible for the accuracy of the location of all subterranean structures and utilities. Client agrees to hold harmless and indemnify Advantage Septic Service, LLC from and against all claims, liabilities, losses damages, bodily injury, or losses of any nature whatsoever, including the costs of defense, attorneys fees arising out of damage done to subterranean structures or utilities not identified or inaccurately located. Regulations require all utilities to be located 10 feet from all components of sewage disposal systems. Charges to relocate or repair any utilities within in conflict with the requested services are subject to a change order.
  14. Performance of Work: Advantage Septic Service, LLC is a full service company providing an array of services related to onsite sewage systems, well water, environmental contamination, stormwater and other related fields. Advantage Septic Service, LLC provides services such as investigation, assessment, recommendations, design, permitting, parts & materials specification, installation, inspection, operation, maintenance and warranty. Advantage Septic Service, LLC provides each of these services separately or in various combinations to meet client needs. Advantage Septic Service, LLC is a properly registered business and licensed to perform work of this type under the laws of The Commonwealth of Furthermore, Advantage Septic Service, LLC’s owners and many employees are licensed professionals regulated by the Virginia Department of Professional Occupation & Regulation. Certain services such as environmental investigations, soil and groundwater sampling, onsite sewage system soil investigation, design, installation, inspection and operation are performed in compliance with State Regulations. Some services are subject to review, inspection, approval or denial by State and local agencies. In some cases Advantage Septic Service, LLC certifies these services are complete to regulatory agencies and these agencies have the option of completing an onsite or administrative review of these services for compliance with regulations. Advantage Septic Service, LLC notifies regulatory agencies as required when such services are complete and accompanies regulators on field inspections when / if they choose to inspect.
  15. Disclosure: Advantage Septic Service, LLC hereby discloses that in some cases the combination of services for a client may mean that SES owners or employees may investigate, recommend, specify, design, install, inspect and operate environmental, fuel storage tank, onsite sewage and or stormwater systems that have not been physically inspected by regulatory officials but have been certified as complete or in good operational order by a licensed professional who is an owner, employee or subcontractor of Advantage Septic Service, LLC. Should the client desire a third-party inspection be performed of any work completed by SES, it is the client’s responsibility to retain and pay for such inspections and to notify Advantage Septic Service, LLC in a timely manner such that the progress of work is not unreasonably delayed.
  16. Invoicing & Disputes: Once tanks and dispersal field components are installed and backfilled, You will be invoiced the remaining balance. This is due before completion statements are filed with the health department. Within 15 days of receipt of invoice, if the Client disputes any amounts invoiced, the Client shall give the Consultant prompt written notice thereof, including items disputed and the reason for the dispute. The Client shall in any event pay all amounts invoiced that the Client does not dispute as provided herein and 18% interest accrued annually on unpaid balances over 30 days plus attorney’s fees for collection of past due accounts.
  17. Deliverables: In performing its services, Advantage Septic Service, LLC shall be entitled to rely on the work and information supplied by third-parties, the representations of Client, and the public record. Advantage Septic Service, LLC shall be under no obligation to verify or independently evaluate the accuracy or completeness of any of the foregoing. Any reports provided to the Client in connection with the services outlined in #2 shall be based upon conditions, which can be reasonably observed and/or information provided in connection the scope of work specified. Client acknowledges that subsurface conditions may vary from those observed at locations where borings and or observations are made and that site conditions may change with time. All deliverables, data and work produced for Client under this Agreement shall remain the property of Advantage Septic Service, LLC and may not be used by Client for any purpose until payment is made in full. In preparing deliverables, Advantage Septic Service, LLC may review and interpret certain information provided to it by third parties, including government authorities, testing laboratories, and their entities. Advantage Septic Service, LLC will not conduct independent evaluations of the accuracy or completeness of such information, and shall not be responsible for any errors or omissions contained in such information. All deliverables, internal memos, documents and reports pursuant to the consultation, testing or analysis shall remain the property of Advantage Septic Service, LLC, until all charges are paid in full. The Client agrees that all reports, documents and other work not paid for in accordance with terms above shall be returned to Advantage Septic Service, LLC upon Demand. These documents will not be used for licensing, permits, design or construction. Return of such documents does not reduce the liability of the client to pay for incurred expenses and services. Advantage Septic Service, LLC acknowledges it may be advised of privileged or confidential information during the course of work. Advantage Septic Service, LLC agrees not to discuss information, which Advantage Septic Service, LLC has been advised is confidential or privileged, during the course of work and will not release any information or deliverables to other parties as long as payments are made according to stated terms. If amounts are delinquent or unpaid, Advantage Septic Service, LLC has the right to release information to other parties willing to pay delinquent accounts.
  18. Discovery of unanticipated Hazardous Materials: The Client warrants that all matters known or reasonably knowable have been made to Advantage Septic Service, LLC regarding Hazardous Materials on or near the project site. If, while performing the services, unanticipated hazardous materials are discovered that pose unanticipated risks, it is agreed that this shall constitute a changed condition and subject this agreement to immediate renegotiation or termination. It is agreed that Advantage Septic Service, LLC or its authorized subcontractors, shall be paid in full for labor performed and reimbursable expenses charges incurred to the date of termination of this Agreement, including, if necessary, decontamination and demobilization expenses. Immediate Measures of Protection: The Client agrees that the discovery of unanticipated hazardous substances may make it necessary for the Consultant to take immediate measures to protect health as is practically possible. The Client authorizes Advantage Septic Service, LLC to implement measures that in Advantage Septic Service, LLC’s sole judgment are justified to preserve and protect the Health and Safety of the public or Advantage Septic Service, LLC & its authorized subcontractors and personnel.
  19. Reporting: Advantage Septic Service, LLC agrees to notify Client when Advantage Septic Service, LLC encounters unanticipated hazardous materials or suspected hazardous materials. Client agrees to make any disclosures required by law to the appropriate governing agencies. Client agrees to hold Advantage Septic Service, LLC harmless from any and all consequences of disclosures made by Advantage Septic Service, LLC that are required by governing law. In the event that the project site is not owned by the Client, it is Client’s responsibility to inform the owner of the discovery of unanticipated hazardous materials or suspected hazardous materials. Indemnification: Notwithstanding any other provision of this Agreement, Client agrees, to the fullest extent permitted by law, to hold harmless and indemnify Advantage Septic Service, LLC from and against all claims, liabilities, losses, damages and costs, including but not limited to reasonable attorneys fees, arising out of, or in any way connected with, Advantage Septic Service, LLC’s discovery or reporting of unanticipated hazardous materials or suspected hazardous materials.
  20. Governing Law: This agreement is to be governed by the laws of The Commonwealth of
  21. Services Excluded: Services not expressly set forth in writing in the scope on the reverse side hereof, are excluded from the scope of the services of Advantage Septic Service, LLC. The services to be performed by Advantage Septic Service, LLC shall not include an analysis or determination by Advantage Septic Service, LLC as to whether the Client is in compliance with federal, state or local laws, statues, or regulations. Only writing from such agencies shall confirm or deny compliance. Advantage Septic Service, LLC’s services, shall not include directly or indirectly storing, arranging for or actually transporting, disposing, treating, or monitoring hazardous materials, hazardous wastes or hazardous oils. Advantage Septic Service, LLC’s services shall not include an independent analysis of work conducted and information provided by independent laboratories, or other independent contractors retained by Advantage Septic Service, LLC in connection with Advantage Septic Service, LLC’s services provided to the Client. Advantage Septic Service, LLC agrees to use only licensed and insured subcontractors and State Registered Laboratories in connection with Advantage Septic Service, LLC’s services provided to the Client. Unless specifically stated on the reverse side hereof. Advantage Septic Service, LLC’s services exclude testing for the presence of asbestos, polychlorinated biphenyls (PCB’s), radon gas or any airborne pollutants.
  22. Limitation of Liability: A variety of risks potentially affect Advantage Septic Service, LLC by virtue of its entering into an Agreement to perform services on Client’s In order for Client to obtain the benefit of a fee that does not need to account for unlimited risks, Client agrees to limit Advantage Septic Service, LLC’s liability to Client. The total liability of Advantage Septic Service, LLC with regard to the project, or in any way relating to the services performed hereunder, shall be limited, under any and all theories of liability, to the amount paid to Advantage Septic Service, LLC under this Agreement or $50,000.00, whichever is less. Additionally, in the event of litigation between the parties, Advantage Septic Service, LLC shall be entitled to recover its costs of defense and attorneys’ fees if it is the prevailing party. Client agrees to defend, indemnify, and hold harmless Advantage Septic Service, LLC from all liability to third parties in excess of the monetary limits established above, and agrees to compensate Advantage Septic Service, LLC for any time spent or expenses incurred by Advantage Septic Service, LLC in defense of any third-party claim, including, without limitation, the costs of defense and attorney fees. Limitations on liability and indemnities provided in the Agreement are business understandings between the parties and apply to all theories of liability, including breach of contract or warranty, tort, strict or statutory liability, or any other cause of action.

  24. Rock & Unstable Soil: The price quoted is based on the assumption that no unstable soils, groundwater or rock is encountered. Written authorization from the client will be obtained prior to incurring additional fees for excavating deeper depth, de-watering excavations, sidewall stabilization, additional fill or removing Spoils will be stockpiled on site unless otherwise agreed to.
